Terms of Service

These terms govern the relationship between Project39 LLC ("SmartGrow", "we", "us") and any business or organisation ("Client") that enters into a SmartGrow appliance-and-service agreement. By signing an order form or service contract, the Client agrees to these terms.
The service relationship
SmartGrow supplies hydroponic growing appliances and a mandatory monthly maintenance service contract as a bundled offering. The appliance and the ongoing service contract are inseparable — SmartGrow does not sell appliances without the service contract, and the service contract cannot be purchased without an appliance.
Delivery and installation

Monthly service visits

Payment terms

Cancellation and termination

End of contract and equipment

Limited liability
SmartGrow's liability for any claim arising from these terms is limited to the total monthly service fees paid in the twelve months preceding the claim. SmartGrow is not liable for indirect, consequential, or punitive damages, loss of revenue, or loss of profits.
Governing law
These terms are governed by the laws of Georgia. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the courts of Tbilisi, Georgia.
